Terms and Conditions of Use

Welcome to Vesper. These Terms constitute a legally binding agreement between you (“User”) and VIXION Company Limited (“VIXION”). In these Terms, “Vesper” means the product/platform provided by VIXION.

Article 1. Scope of Application

1.1. These Terms and Conditions of Use (“Terms”) govern the access to, browsing of, exploitation of content on, submission of information to, communication with, and use of the Website, as well as the installation and use of the Vesper Application (including the locally operated version (local)), together with the documents, content, forms, images, interfaces, resources, and functions provided (the “Services”).

1.2. By accessing or continuing to use the Website or by installing/using the Vesper Application, the visitor (“User”) confirms that they have read, understood, and agreed to be bound by these Terms. If the User does not agree to any part of these Terms, the User must stop accessing and using the Services.

1.3. With respect to the Vesper Application, you confirm that you are of sufficient legal age under applicable law and have full civil act capacity to enter into this legal agreement.

Article 2. Purpose of Information and Services

2.1. The Website is designed to introduce the product and related information. The Vesper Application is designed to provide AI-integrated features, bot creation, and work management.

2.2. The information on the Website is for reference purposes only and does not constitute an offer to enter into a contract or a binding commitment to provide services, unless there is confirmation from VIXION or unless you complete the payment process, as applicable.

2.3. Descriptions of AI features on the Website are for reference purposes only. VIXION does not guarantee that output generated by AI will always be accurate, complete, or error-free. The User is responsible for verifying information before using it for work purposes or important decisions.

Article 3. Intellectual Property Rights

3.1. All intellectual property rights in the Services (including source code, interfaces, AI algorithms, logos, and user manuals) are the exclusive property of VIXION.

3.2. VIXION grants you a limited, non-exclusive, non-transferable license with worldwide effect to use the Services for personal or internal business purposes.

3.3. The User is strictly prohibited from carrying out any of the following acts:

  • Copying, modifying, republishing, distributing, or commercializing all or any part of the Services;
  • Using automated tools (scraping, crawling) to unlawfully collect data;
  • Performing reverse engineering (Reverse engineer), disassembling, or attempting to access the source code of the Vesper Application in any form.

Article 4. Transactions, Payment, and License Issuance

4.1. The customer shall pay the software license fee in accordance with the listed price at the time of the transaction. The software licensing transaction is established once VIXION confirms successful payment.

4.2. A License Key is only an activation code serving the use of the granted license, is unique, and is personal in nature. The customer is responsible for safeguarding the activation key. Any software usage arising from such key shall be deemed to have been carried out by the customer.

4.3. Refund Policy: The product is a digital asset. VIXION will only consider a refund where the product has a serious technical defect that cannot be remedied within 15 business days from the date VIXION’s technical team officially confirms such technical defect.

Article 5. User Obligations

The User is responsible for and undertakes that:

5.1. The User must use the Services for proper purposes, comply with the law, and must not infringe the rights and interests of Vesper or any third party.

5.2. The User must not use the Services to spread malicious code, viruses, or conduct acts that damage network infrastructure.

5.3. The User must not use AI to generate content that violates the law, misleading content, or content that harms the honor of individuals or organizations.

Article 6. Technical Support Services and Updates

6.1. Technical Support: VIXION will provide technical support services through the communication channels announced on the Website during business hours. Such support includes answering questions regarding software errors and providing instructions for use.

6.2. Support Exclusions: VIXION has no obligation to provide support for: (i) errors caused by unauthorized modification of the Software; (ii) errors caused by issues arising from the customer’s computer environment or operating system; and (iii) errors arising from the customer’s failure to update to the latest version when requested.

6.3. Updates: VIXION has the right to release periodic updates to fix errors or upgrade features. The customer is responsible for carrying out updates to ensure performance and security.

Article 7. Limitation of Liability

7.1. The Services are provided on an “as-is” and “as available” basis (as-is / as available) to the extent permitted by law. VIXION does not guarantee that the Services will operate continuously or without errors.

7.2. In all cases, VIXION’s total liability for damages shall not exceed the total amount that the customer has actually paid to VIXION during the preceding 12 months.

7.3. VIXION shall not be liable for any interruption arising from third-party service providers (including providers of AI models or internet infrastructure).

7.4. Vesper integrates AI technology. VIXION does not guarantee that AI-generated output will always be accurate, complete, or suitable for every purpose of use. The User is responsible for verifying information before use.

Article 8. Data Protection

8.1. The processing of personal data is carried out in accordance with Vesper’s Privacy Policy and in compliance with the Law on Personal Data Protection No. 91/2025/QH15.

8.2. For the locally operated version of the Vesper Application (local), Vesper does not automatically collect your input/output content. You are solely responsible for securing and storing data on your personal device.

Article 9. Governing Law and Dispute Resolution

9.1. These Terms are governed by the laws of Vietnam.

9.2. Any dispute arising out of or in connection with these Terms or the use of the Website shall first be prioritized for resolution by the parties through negotiation and mediation in good faith within 30 days from the date one party gives notice of the dispute.

9.3. If the parties are unable to resolve the dispute through negotiation within the above period, the dispute shall be resolved by the competent Court in Ho Chi Minh City, unless the parties have a separate written agreement to resolve the dispute by commercial arbitration.

9.4. Notwithstanding the above provisions, VIXION has the right to request the competent authority to apply interim emergency measures to protect its intellectual property rights, data, trade secrets, system security, and its lawful rights and interests.

Article 10. General Provisions

10.1. If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.

10.2. Any failure or delay by VIXION in exercising any right under these Terms shall not be deemed a waiver of such right.

10.3. These Terms constitute the entire agreement between VIXION and the User in relation to the use of the Services and supersede all prior communications regarding the same subject matter, unless otherwise agreed in writing.

10.4. VIXION has the right to amend these Terms at any time. The updated version will be posted on the Website and shall take effect from the time of publication or on the effective date stated in the updated version. The User’s continued use of the Services after the Terms are updated shall constitute acceptance of such amended version.
